国际贸易术语

  贸易术语,又称价格术语、价格条件。它是国际贸易中构成单价条款的重要组成部分。在对外报价和签订合同时,涉及到价格问题,它都是不可缺少内容。它又分为出口国贸易术语 / 进口国贸易术语

  出口国交货的贸易术语三组
  1E 组:E.W.X.,工厂交货。
  2F F.C.A.,货交承运人;F.A.S.,装运港船边交货;F.O.B.,装运港船上交货。
  3C C.F.R.,成本加运费;C.I.F.,成本保险费加运费;C.P.T.,运费付至(指定目的地);C.I.P.,运费保险费付至(指定的目的地)。
  在进口国交货的贸易术语有五种:
  1D.A.F.,边境交货;
  2D.E.S.,目的港船上交货;
  3D.E.Q.,目的港码头交货;
  4D.D.V.,未完税交货;
  5D.D.P.,完税后交货。
  下面介绍一下国际贸易中最经常使用的两种交货方式的贸易术语C.I.F.: F.O.B.
  一、装运港船上交货价(FOB
  英文是:Free on Board.
  装运港船上交货价是国际贸易中常用的价格术语之一。卖方承担的基本义务是在合同规定的装运港和规定的期限内,将货物装上买方指派的船 只,并及时通知买方。货物在装船时越过船舷,风险即由卖方转移至买方。买方要负责租船订舱,支付运费,并将船 期、船名及时通知卖方。货物在装运港越过船舷后的其他责任、费用也都由买方负担,包括取得进口许可证或其他官方证件,以及办理货物入境的手续和费用。如果 买方指定了船只,而未能及时将船名、装货泊位及装船日期通知卖方,或者买方指派的船只未能按时到达,或未能承载货物,或者在规定期限终了前截止装货,买方 要承担由此产生的一切风险和损失。前提是货物已清楚地分开或被固定为供应本合同之用。
  在F.O.B.条件下,卖方要自负风险和费用领取出口许可证或其他官方证件,并负责办理出口手续。卖方还要自费提供证明他已按规定完成交货义务的证件。在买方要求下,并由买方承担风险和费用的情况下,卖方可给予一切协助,取得提单或其他运输单。
  按F.O.B.价格成交,如果采用班轮运输,装船费用包括在班轮运费之中,与装船有关的各项费用自然由负责办理运输事项的买方承担。而 如果采用程租船运输,按照航运惯例,通常在租船合同中规定船方不负担装船费用。在这种情况下,买卖双方应在合同中明确装船、理舱、平舱费用的负担问题。为 了避免买卖双方在装船等费用的负担问题上发生争议,我们往往在F.O.B.之后加列各种附加条件,这就产生了F.O.B.的变形。它们是以下几种形式。
  1F.O.B.Liner teame(班轮条件),念义是装船的有关费用按照班轮的做法办理。也就是,卖方不负担这些费用,而由船方实际上是买方负担。
  2F.O.B.Under Tackle(吊钩下交货),其定义是卖方仅负责把货物交到买方指派船只的吊钩所及之处,以后的装船费用概由买方负担。
  3F.O.B.Stowed(理舱费在内)这一条件是指卖方要负责把货物交到进入船舱并负担包括理舱费在内的装费用。
  4F.O.B.Trimmed(平舱费在内)这是指卖方要负责把货物装入船舱,并为保持船身的平稳,对装入船舱的散装货物进行填平补齐,上述各项费用均由卖方负担。
  〖国际贸易术语解释通则〗与〖美国对外贸易定义〗
  有关办理出口手续付费及对F.O.B.的分类有很大不同。所以在实际操作中需加注意。
  二、运费、保险费在内价(CIF
  C.I.F.也是国际贸易中常用的价格术语。采用这一贸易术语时,卖方的基本义务是负责按通常条件租船订舱、支付到目的港的运费,并在 规定的装运港和规定的期限内将货物装上船。装船后及时通知买方。卖方负责办理从装运港到目的地的海运货物保险,支付保险费。在业务上,有人称C.I.F. 到岸价,其实,按C.I.F.条件成交时,卖主仍是在装运港完成交货,卖方承担的风险也是在装运港时,货物越过船航以前的风险。越过船舷以后的风险 由买方承担。货物装船后自装运港到目的港的运费、保险费以外的费用也要由买方负担。除此之外,买方还要自负风险和费用取得进口许可证或其他官方证件,办理 进口手续并按合同规定支付货款。
  卖方需要提供的单据主要有:商业发票或与之相应的电子数据;必要时提供证明所交货物与合同规定相符的证件:通常的运输单据,使买方得 以在目的地受领货物,或者通过转让单据出售在途货物;卖方要提供符合合同规定的保险单据,使买方可以凭该单据直接向保险人索赔。另外,卖方要自负风险和费 用取得出口许可证或其他官方证件,并负责办理出口手续。
  C.I.F.价格条件采用象征性交货方式(Symtolie Delivery)。所谓象征性交货是指卖方按合同规定在装运港口将货物装船并提交全套合格单据,就算完成了交货义务,而无需保证到货。反之,如果卖 方提交的单据不合要求,即使合格的货物安全运达,也不算完条件成交,卖方所要提交的单据名称、内容及份数都应与约定相符,否则,买方有权拒收单据、拒付货 款。
